Terms and Conditions of Sales
I. GENERAL

2. Offer ; Acc eptanc e
: T hes e Terms are deemed part of all quotations , acknowl edgm ents ,
inv oi c es , purchas e o r der s and other docum ents , whether elec tr oni c or in writ i ng,
rel ati ng to the sale of Pr oduc ts by Se l l er. Sel l er hereby object s to any Terms proposed
in Buyer’s purchas e order or other document s which are i nc ons is tent with, o r in
addition to, thes e Ter ms .
3. Dis tr i butor
: Any dis tr i butor shal l infor m its cus tom er of t he cont ents after and inc l uding
sec ti on III of these Ter m s .
II. SALES
1. Pr i c es ; Paym ent: All pri c es stated are c ur r ent, subjec t to change without not ic e by
Sel ler. Buy er agrees t o pay t he price in ef fec t at ti m e of s hi pm ent. Pay m ents for
Pr oduc ts receiv ed are due net 30 days unles s otherwis e stated in the i nv oi c e. Buyer
shal l have no ri ght to set off any amounts agains t the am ount owing in respect of thi s
invoice.
2. Dis c ounts
: C as h d is c ounts , if any, w i l l apply only on the net am ount of i nv oi c es sent t o
Buy er after deduct i ng transport ati on charges, taxes and duti es , and will be al lowed
only if (a) t he invoi c e is paid ac c or di ng to S el l er’ s payment terms and ( b) Buy er has no
past due amount s owing t o Sell er.
3. Interest
: Sel ler, at i t s option, may char ge Buyer 1.5% inter es t per m ont h o r the
max i mum legal rate, whichev er is less , on any balance not pai d within the st ated
terms .
4. Order s
: Seller will accept no order less than 200 U.S. dollars net billing.
5. Curr encies : If the pric es quoted her ei n are i n a cur r enc y other t han U.S. doll ar s , Buyer
shal l mak e remi ttanc e to S el l er at t he t hen curr ent exchange rate most favorabl e to
Sel l er ; provi ded that i f remi ttanc e is not m ade when due, Buy er wil l conv ert the am ount
to U. S . dollar s at t he t hen current exchange rate m os t favorabl e to S el l er avai l abl e
duri ng the peri od between the due date and the date remi tt anc e is actuall y made.
6. Gov ernmental Appr ov al s
: Buy er shal l be r es pons i bl e for all cos ts inv ol v ed in obtaini ng
any government approval s regarding the i m por tati on or s al e of the Product s .
7. Taxes
: Al l taxes , duties and other governm ent al charges (other than gener al real
proper ty and i nc om e taxes) , incl udi ng any inter es t or penal t i es thereon, impos ed
dir ec tl y or indir ec tly on S el ler or requi r ed to be col lec ted direc tl y or indir ec tl y by Sell er
for the m anufac tur e, producti on, sale, deliv er y, i m por tat i on, consum pti on or us e of the
Pr oduc ts sol d hereunder (i nc l udi ng custom s duties and s al es , exci s e, use, t ur nov er
and li c ens e taxes) shall be char ged to and rem i t ted by B uy er to S el ler.
8. Fi nanc i al
: I f the fi nanc i al posi tion of Buy er at any ti m e becomes unsatis f ac tor y to
Sel ler, Sel l er reser v es the r i ght to s top shipm ents or requi r e satis fac t or y secur i ty or
paym ent in advanc e. If B uy er fail s to m ak e payment or other wi s e compl y with these
Terms or any related agreement, Sell er may (wi thout liability and in additi on to other
rem edi es ) cancel any unshipped portion of Pr oduc ts sol d hereunder and stop any
Pr oduc ts in transi t until Buyer pays all amounts, incl uding amounts payable hereunder,
whether or not then due, which are owi ng to i t by B uy er. Buy er shall in any ev ent
rem ai n liable for al l unpaid accounts .
9. Cancel l at i on; Etc
: O r der s are not subj ec t to res c hedul ing or c anc el l at i on unless Buyer
indem nifi es Sel ler full y agains t all costs or ex pens es ari s i ng in c onnec t i on therewith.
10. Force Majeur e
: Sel ler shal l not be liabl e for any delay or f ail ur e in deli v er y resulti ng
from caus es beyond its contr ol , includi ng earthquakes , fires , floods, stri k es or ot her
labor dis putes , shortage of labor or ma ter i al s , acci dents to mac hi ner y, ac ts of
sabotage, riots , delay in or lac k of t rans por tat i on or the requir em ents of any
gover nm ent authority.
11. Shi ppi ng; Deliv er y
: U nl es s otherwi s e expr es s l y agreed in writing by S el l er :
(a) All sal es and s hi pm ent s of P r oduc ts shal l be F OB shi ppi ng point (unl es s otherwi s e
stated in wr iti ng by Sel l er ) , at whi c h point title to and all ri s k of los s of the Produc ts
shal l pass from Sel l er to B uy er, provided that S el l er shal l retai n a sec ur i ty inter es t
in the P roduc t s until the full purc has e p r i c e is paid by Buy er ;
(b) Deliv er y and s hi ppi ng dates are estim ates only ; and
(c ) Sel ler wil l pack age Pr oduc t s as it deems proper f or protec ti on against normal
handli ng and ext r a char ges apply to s pec i al condi t i ons .
12. Claims
: Any cl ai m by Buyer against Sell er for shortage or dam age t o the P r oduc ts
occ ur ring before del iv er y to the carrier mus t be pres ented in det ai l in writi ng to S el l er
within 30 days of r ec ei pt of s hi pm ent.
III. PRECAUTIONS
1. Suitability: IT IS THE BUYER’S SOLE RESPOINSIBILITY TO ENSURE THA T ANY
OM RON PRODUCT IS FIT AND S UF FICIE NT FOR US E IN A MOT ORIZ E D
VEHICLE APPLICA TION. BUYER SHALL BE SOLELY RESPONSIBLE FOR
DETERMINING APPROPRIA TENESS OF THE PARTICULAR PRODUCT WIT H
RESPECT TO THE BUYER’S APPLICATION INCLUDING (A) E LECTRICAL OR
ELE CTRONIC COMPO NE NTS , (B) CIRCUIT S , (C) SYSTEM ASSEMBLIES, (D) END
PRO DUCT, ( E ) SYSTEM, (F) MATERIALS O R SUBSTANCES OR (G) OPERA TING
ENV IRO NM E N T. Buy er acknowl edges that it alone has determi ned that the Product s
wil l meet their requir em ents of t he intended us e in a l l
cases. Buyer must know and
obser v e all prohibi tions of us e applic able to the Pr oduc t/ s .
2. Use with A t tenti on

parti c ul ar attenti on must be giv en. This is not i ntended to be an exhaus ti v e lis t of al l
poss i bl e use of any Pr oduc t, nor t o impl y that any use lis t ed may be sui t abl e for any
Pr oduc t:

(b) Use i n consum er Produc t s or any use in s igni fic ant quantiti es .
(c) Energy control syst ems, combustion systems, railroad systems, aviation systems,
medi c al equipment, amusem ent machines , vehic l es , safety equipment , and
ins tall ations subj ec t to separ ate industr y or gover nm ent regulations .
(d) Sys tem s , machi nes , and equi pm ent that c oul d present a ri s k to l ife or pr oper ty.
3. Pr ohi bi t ed U s e
: NEVER USE THE PRODUCT F OR AN APPLICAT ION INVOLVING
SERIOUS RIS K TO LIFE OR P ROPERTY WITHOUT E NSURING THAT THE
SYSTEM AS A WHOLE HAS BEEN DESIGNED TO A DDRESS THE RISKS, AND
THAT THE PRODUCT IS P RO P E RLY RATED A ND INSTALLE D FOR THE
INTENDED USE WITHIN THE OVERALL EQUIPMENT OR SYSTEM.
4. Motor i z ed V ehi c l e Appli c ation
: US E OF AN Y PRODUCT/S FOR A MO TO RIZE D
VEHICLE APPLICA TION MUST BE EXPRESSL Y STATED IN THE SPECIFICA TION
BY SELLER.
5. Pr ogr am m abl e Produc ts
: Sel ler shal l not be responsibl e for t he Bu y er’s programming
of a program m able Product .
IV. WARRANTY AND LIMITATION
1. W ar r anty : Seller’s exc l us i v e warranty is that the Produc ts wil l be fr ee from defects in
mater i als and wor k m ans hi p for a period of twel v e mont hs from the date of sale by
Seller (or such other period expressed in writing by Seller). SELLER MAKES NO
WARRANTY OR REPRESENTATION, EXPRESS O R IMPLIED, ABOUT ALL
OTHE R WARRANTIE S , NON--INFRINGEM E NT, M E RCHA NTABILITY OR F ITNE S S
FOR A PARTICULA R PURP O S E OF T HE PRODUCT S.
2. Buy er Remedy
: Sel ler’s sol e obligation hereunder shal l be t o replace (in the form
ori gi nal ly shi pped wit h Buyer respons i bl e for labor charges for remov al or repl ac ement
thereof) the non- c om ply i ng Produc t or, at Sell er’ s elect i on, to repay or cr edit Buyer an
amount equal t o the purc has e pric e of the Pr oduc t; provi ded that ther e shall be no
liability for Seller or its affiliates unless Seller’s analys i s confi r m s that t he Pr oduc t s were
handled, stored, instal led and maintai ned and not subject to c ontami nation, abuse,
mi s us e or i nappr opr i at e modific ati on. Return of any Products by Buyer must be
approv ed in writ i ng by S el l er before shipm ent.
3. Limitation on Liability
: SELLER AND ITS AFFILIA TES SHALL NOT BE LIABLE FOR
SPECIAL, INDIRECT , INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOSS OF
PROF ITS OR PRO DUCTION OR CO M M ERCIA L LOSS IN ANY W AY CO NNE CTE D
WITH THE PRO DUCTS , WHETHE R SUCH CLA IM IS BASED IN CONTRACT ,
WARRANTY, NEGLIGENCE OR STRICT LIABILITY. FURTHER, IN NO EVENT
SHALL LIABILITY O F SELLER OR ITS AFFILIT ATES EXCEED THE INDIVIDUAL
PRICE OF T HE PRODUCT ON W HICH L IA BILIT Y IS ASSERTED.
4. Indemniti es
: Buy er shal l indem ni fy and hold harml es s Sel l er, its affiliates and its
empl oy ees from and agains t all liabilities, losses, claims, costs and expenses (inc l uding
attorney ’ s fees and expens es ) relat ed t o any c lai m, inves ti gat i on, litigati on or
proc eedi ng (whether or not Se l l er is a par ty ) which aris es or is all eged to ar i s e from
Buy er’s acts or o m i s s ions under t hes e Term s or in any way wi th respect to the
Pr oduc ts .
V. INFORMA TION; ETC.
1. Intel l ec tual Pr oper ty : The i ntel lec tual proper ty embodi ed in the Produc ts is the
exc l us i v e property of S el ler and i ts affiliates and Buyer shall not attempt to duplic ate it
in any way without the wr i tten permi s s i on of S el l er. Buy er (at it s own ex pense) shal l
indem nify and hold harml es s Sel l er and defend or s ettle any ac ti on brought agains t
Sel ler to the extent t hat it is based on a c lai m that any P r oduc t made to B uy er
spec i fic ati ons infr i nged intel l ec tual proper ty right s of another party.
2. Pr oper ty ; Confidenti al i t y
: N otwi ths t andi ng any c har ges to B uy er for engineer i ng or
tooling, all engineeri ng and tool i ng shall rem ai n the exc l us iv e property of S el l er. Al l
infor m at i on and mat erial s suppl i ed by S ell er to B uy er rel ati ng to the Product s are
confi dent i al and pr opr i etar y, and Buyer shall limit distribution thereof to its trusted
empl oy ees and s t ric tl y prev ent disc l os ur e to any thi r d party.
3. Per for m anc e Data
: Performance data is provided as a guide in determining suitability
and does not cons ti t ute a warr anty. It may represent the r es ul t of S el l er’ s test
condi tions , and the u s er s must corr el ate it t o actual applic ation requirements .
4. Change I n Speci fic ati ons
: Pr oduc t speci fi c at i ons and des c r i pti on may be changed at
any time based on impr ov em ent s or ot her reasons . It i s Sel l er’ s practi c e to c hange
part numbers when publ i s hed ratings or f eatur es are changed, or when signifi c ant
engineer i ng changes are made. However, som e speci fi c ations of the Produc t may be
changed without any noti c e.
5. Errors A nd Omissions
: T he inform at i on on Sel ler’s websi te or in other doc um entat i on
has been car eful l y chec k ed and is beli ev ed to be a c c ur ate; however , no res pons i bility
is ass um ed for c l er i c al , typographic al or p r oofr eadi ng errors or omis s i ons .
6. Ex por t Controls
: Buy er shal l com pl y with all applic abl e laws, regulati ons and li c ens es
regar di ng (a) e xpor t of the Produc ts or inf ormati on provi ded by S el ler ; (b) sal e of
Pr oduc ts to f orbidden or other prosc r i bed persons or or ganiz ati ons ; (c) disc los ur e to
non-c i ti z ens of r egulated technology or in for m ation.
VI. MISCELLANEOUS
1. W aiv er : No fai l ur e or del ay by Sell er in e x er c i s i ng any r ight and no cour s e of dealing
between Buy er and S el l er shal l operate as a waiver of r i ghts by Sell er.
2. As s i gnm ent
: Buy er may not as s i gn its rights hereunder without Sell er’ s writ ten consent.
3. Law
: T hes e Terms are gover ned by Il li noi s law (without regard t o conflic t of l aws ) .
Federal and state courts in I ll inoi s have e x c l us i v e juri s di c t i on for any dis pute
hereunder.
4. Am endment
: T hes e Terms const i tute the enti r e agreement between Buyer and Sell er
rel ati ng to the Product s , and no pr ov i s ion may be changed or wai v ed unless in w r i ting
si gned by the parties .
5. Severability
: I f any pr ov i s i on hereof is rendered ineffec ti v e or i nv al id, such p r ov i s i on
shal l not inv al idate any ot her provi s i on.
