2. RESTRICTIONS. ExceptasotherwiseauthorizedinwritingbyEnterasys,You
maynot,normayYoupermitanythirdpartyto:
(i) Reverseengineer,decompile,disassembleormodifytheProgram,in
wholeorinpart,includingforreasonsoferrorcorrectionor
interoperability,excepttotheextentexpresslypermittedbyapplicablelaw
and
totheextentthepartiesshallnotbepermittedbythatapplicablelaw,
suchrightsareexpresslyexcluded.Informationnecessarytoachieve
interoperabilityorcorrecterrorsisavailablefromEnterasysuponrequest
anduponpaymentofEnterasys’applicablefee.
(ii) IncorporatetheProgram,inwholeorinpart,inanyotherproduct
orcreate
derivativeworksbasedontheProgram,inwholeorinpart.
(iii) Publish,disclose,copy,reproduceortransmittheProgram,inwholeorin
part.
(iv) Assign,sell,license,sublicense,rent,lease,encumberbywayofsecurity
interest,pledgeorotherwisetransfertheProgram,inwholeorinpart.
(v) Removeanycopyright,
trademark,proprietaryrights,disclaimeror
warningnoticeincludedonorembeddedinanypartofthe Program.
3. APPLICABLELAW. ThisAgreementshallbeinterpretedandgovernedunder
thelawsandinthestateandfederalcourtsoftheCommonwealthof
Massachusettswithoutregardtoitsconflictsoflawsprovisions.Youaccept
the
personaljurisdictionandvenueoftheCommonwealthofMassachusettscourts.
Noneofthe1980UnitedNationsConventiononContractsfortheInternational
SaleofGoods,theUnitedNationsConventionontheLimitationPeriodinthe
InternationalSaleofGoods,and theUniformComputerInformation
TransactionsActshallapplytothis
Agreement.
4. EXPORTRESTRICTIONS. YouunderstandthatEnterasysanditsAffiliates
aresubjecttoregulationbyagenciesoftheU.S.Government,includingtheU.S.
DepartmentofCommerce,whichprohibitexportordiversionofcertain
technicalproductstocertaincountries,unlessalicensetoexporttheProgramis
obtainedfromtheU.S.
Governmentoranexceptionfromobtainingsuchlicense
mayberelieduponbytheexportingparty.
IftheProgramisexportedfromtheUnitedStatespursuanttotheLicense
ExceptionCIVundertheU.S.ExportAdministrationRegulations,Youagree
thatYouareacivilenduseroftheProgramandagree
thatYouwillusethe
Programforcivilendusesonlyandnotformilitarypurposes.
