10. ENFORCEMENT. YouacknowledgeandagreethatanybreachofSections2,4,
or9ofthisAgreementbyYoumaycauseEnterasysirreparabledamagefor
whichrecoveryofmoneydamageswouldbeinadequate,andthatEnterasys
maybeentitledtoseektimelyinjunctiverelieftoprotectEnterasys’rightsunder
thisAgreement
inadditiontoanyandallremediesavailableatlaw.
11. ASSIGNMENT. Youmaynotassign,transferorsublicensethisAgreementor
anyofYourrightsorobligationsunderthis Agreement,exceptthatYoumay
assignthisAgreementtoanypersonorentitywhichacquiressubstantiallyallof
Yourstockor
assets.EnterasysmayassignthisAgreementinitssolediscretion.
ThisAgreementshallbebindinguponandinuretothebenefitoftheparties,
theirlegalrepresentatives,permittedtransferees,successorsandassignsas
permittedbythisAgreement.Anyattemptedassignment,transferorsublicense
inviolationofthetermsofthisAgreement
shallbevoidandabreachofthis
Agreement.
12. WAIVER. AwaiverbyEnterasysofabreachofanyofthetermsandconditions
ofthisAgreementmustbeinwritingand willnotbeconstruedasawaiverof
anysubsequentbreachofsuchtermorcondition.Enterasys’failureto
enforcea
termuponYourbreachofsuchtermshallnotbeconstruedasawaiverofYour
breachorpreventenforcementonanyotheroccasion.
13. SEVERABILITY. IntheeventanyprovisionofthisAgreementisfoundtobe
invalid,illegalorunenforceable, thevalidity,legalityandenforceabilityofany
of
theremainingprovisionsshallnotinanywaybeaffectedorimpairedthereby,
andthatprovisionshallbereformed,construedandenforcedtothemaximum
extentpermissible.Anysuchinvalidity,illegalityorunenforceabilityinany
jurisdictionshallnotinvalidateorrenderillegalorunenforceablesuchprovision
inanyotherjurisdiction.
14.
TERMINATION. EnterasysmayterminatethisAgreementimmediatelyupon
YourbreachofanyofthetermsandconditionsofthisAgreement.Uponany
suchtermination,YoushallimmediatelyceasealluseoftheProgramandshall
returntoEnterasystheProgramandallcopiesoftheProgram.
