BYDOWNLOADING,INSTALLING,ORUSINGTHE SOFTWAREOR OTHERWISEEXPRESSINGYOURAGREEMENTTOTHE TERMS
CONTAINED HEREIN, YOU (ASCUSTOMERORIF YOUARENOTTHECUSTOMER,ASAREPRESENTATIVE/AGENTAUTHORIZEDTO
BINDTHECUSTOMER)CONSENTTOBEBOUNDBYTHISAGREEMENT.IFYOUDONOTORCANNOTAGREETOTHETERMSCONTAINED
HEREIN,THEN (A)DONOT DOWNLOAD,INSTALL, OR USETHESOFTWARE, AND(B) YOUMAYCONTACTJUNIPERNETWORKS
REGARDING LICENSETERMS.
1. TheParties.ThepartiestothisAgreementare(i) JuniperNetworks,Inc.(if theCustomer’sprincipalofficeis locatedintheAmericas)or
JuniperNetworks(Cayman)Limited(iftheCustomer’sprincipalofficeislocatedoutsidetheAmericas)(suchapplicableentitybeingreferred
tohereinas“Juniper”),and(ii)thepersonororganizationthatoriginallypurchasedfromJuniperoranauthorizedJuniperresellertheapplicable
license(s)foruseof theSoftware(“Customer”)(collectively,the “Parties”).
2. TheSoftware.In thisAgreement,“Software”means theprogrammodulesandfeaturesofthe Juniper orJuniper-supplied software,for
whichCustomerhaspaidthe applicablelicenseorsupport fees toJuniperor anauthorizedJuniper reseller, orwhich was embeddedby
JuniperinequipmentwhichCustomerpurchasedfromJuniperoranauthorizedJuniperreseller.“Software”alsoincludesupdates,upgrades
andnewreleasesof suchsoftware.“EmbeddedSoftware”meansSoftwarewhichJuniper hasembeddedin orloadedontotheJuniper
equipmentand anyupdates, upgrades, additionsor replacementswhichare subsequentlyembedded inor loadedontotheequipment.
3. LicenseGrant.Subjecttopaymentoftheapplicablefeesandthelimitationsandrestrictionssetforthherein,JunipergrantstoCustomer
anon-exclusiveand non-transferable license,withoutright tosublicense,tousethe Software,inexecutableformonly,subjecttothe
followinguserestrictions:
a. Customer shalluse EmbeddedSoftware solelyasembeddedin, andforexecutionon,Juniper equipmentoriginallypurchased by
Customer fromJuniperor an authorizedJuniperreseller.
b. Customershall usethe Softwareon a singlehardwarechassishavinga singleprocessing unit,or asmanychassisor processing units
forwhichCustomerhaspaidthe applicablelicensefees;provided,however,withrespecttotheSteel-BeltedRadiusorOdysseyAccess
Clientsoftwareonly,Customer shalluse suchSoftware ona singlecomputer containingasinglephysicalrandomaccessmemory space
andcontaininganynumber of processors.Use ofthe Steel-Belted RadiusorIMS AAAsoftwareonmultiplecomputersor virtualmachines
(e.g.,Solariszones) requiresmultiplelicenses,regardlessof whethersuch computers orvirtualizationsarephysicallycontainedon asingle
chassis.
c. Product purchasedocuments, paperor electronicuser documentation, and/ortheparticularlicensespurchasedbyCustomermay
specifylimitstoCustomer’suseoftheSoftware.Suchlimitsmayrestrictusetoamaximumnumberofseats,registeredendpoints,concurrent
users,sessions,calls,connections,subscribers,clusters,nodes, realms,devices, links,portsor transactions, orrequirethepurchaseof
separatelicensestouseparticularfeatures,functionalities,services,applications,operations,or capabilities,orprovidethroughput,
performance,configuration,bandwidth, interface,processing, temporal,or geographicallimits. Inaddition, suchlimits mayrestricttheuse
ofthe Softwaretomanaging certainkindsof networksor require theSoftwaretobeusedonlyin conjunctionwithother specificSoftware.
Customer’suseof theSoftware shallbe subjecttoall suchlimitationsand purchaseof all applicablelicenses.
d. Foranytrial copy ofthe Software,Customer’srighttouse theSoftwareexpires30 daysafter download,installationor useof the
Software.CustomermayoperatetheSoftwareafterthe 30-daytrial periodonlyif Customer pays foralicensetodo so.Customermaynot
extendor createan additionaltrial periodbyre-installingthe Softwareafterthe30-daytrial period.
e. TheGlobal EnterpriseEditionof theSteel-BeltedRadiussoftware maybeused byCustomeronly tomanageaccesstoCustomer’s
enterprisenetwork. Specifically,serviceprovidercustomers areexpresslyprohibitedfromusingthe GlobalEnterpriseEditionof the
Steel-BeltedRadiussoftwaretosupport anycommercialnetwork accessservices.
Theforegoinglicenseisnottransferableor assignablebyCustomer.Nolicenseisgrantedhereintoanyuserwhodidnot originallypurchase
theapplicablelicense(s)fortheSoftwarefromJuniperor anauthorizedJuniper reseller.
4. UseProhibitions. Notwithstandingtheforegoing, thelicenseprovidedhereindoesnot permitthe Customerto, andCustomeragrees
nottoand shallnot: (a) modify,unbundle,reverseengineer,or createderivative works based onthe Software;(b)makeunauthorized
copiesofthe Software(exceptasnecessaryforbackuppurposes);(c)rent,sell, transfer,or grantanyrights inand toanycopyof the
Software,inanyform,toanythirdparty;(d)removeanyproprietarynotices,labels,ormarksonorinanycopyoftheSoftwareoranyproduct
inwhich theSoftwareisembedded;(e)distributeany copyofthe Softwaretoanythird party,includingasmaybe embeddedinJuniper
equipmentsoldinthesecondhandmarket;(f)useany‘locked’orkey-restrictedfeature,function,service,application,operation,orcapability
withoutfirstpurchasingthe applicablelicense(s)and obtaininga validkeyfromJuniper, even ifsuch feature,function,service,application,
operation,or capabilityisenabledwithout akey;(g) distributeanykeyfortheSoftware provided byJunipertoany thirdparty;(h) usethe
