Softwarein anymanner thatextendsor isbroaderthan the usespurchased byCustomerfromJuniperor anauthorizedJuniper reseller;(i)
useEmbeddedSoftwareonnon-Juniper equipment;(j) useEmbeddedSoftware(ormakeitavailableforuse) onJuniper equipmentthat
theCustomerdidnot originallypurchasefromJuniperor anauthorizedJuniper reseller;(k) disclosetheresultsoftestingorbenchmarking
oftheSoftwaretoanythirdpartywithoutthepriorwrittenconsentofJuniper;or(l)usetheSoftwareinanymannerotherthanasexpressly
provided herein.
5. Audit.Customershallmaintain accuraterecordsasnecessarytoverify compliance withthis Agreement.UponrequestbyJuniper,
Customer shallfurnish suchrecordstoJuniperand certifyitscompliancewiththis Agreement.
6. Confidentiality.ThePartiesagreethataspectsoftheSoftware andassociateddocumentation aretheconfidentialpropertyofJuniper.
Assuch,CustomershallexerciseallreasonablecommercialeffortstomaintaintheSoftwareandassociateddocumentationinconfidence,
whichataminimumincludesrestrictingaccesstotheSoftwaretoCustomeremployeesandcontractorshavinganeedtousetheSoftware
forCustomer’sinternalbusinesspurposes.
7. Ownership.Juniper andJuniper’slicensors,respectively,retainownershipof allright, title,andinterest (includingcopyright)inand to
theSoftware,associateddocumentation,and allcopiesof theSoftware. Nothingin thisAgreementconstitutesatransferorconveyance
ofany right,title,orinterestinthe Softwareor associateddocumentation,ora saleofthe Software,associateddocumentation,orcopies
ofthe Software.
8. Warranty,LimitationofLiability,DisclaimerofWarranty.Thewarranty applicabletothe Software shallbe assetforthin thewarranty
statementthataccompaniestheSoftware(the“WarrantyStatement”).NothinginthisAgreementshallgiverisetoanyobligationtosupport
theSoftware.Support servicesmaybepurchasedseparately.Any suchsupport shallbe governedbya separate,writtensupportservices
agreement. TOTHE MAXIMUMEXTENT PERMITTEDBY LAW,JUNIPERSHALL NOTBE LIABLEFOR ANYLOSTPROFITS,LOSS OFDATA,
ORCOSTSORPROCUREMENTOFSUBSTITUTEGOODSORSERVICES,ORFORANYSPECIAL,INDIRECT,ORCONSEQUENTIALDAMAGES
ARISINGOUTOFTHISAGREEMENT,THESOFTWARE,ORANYJUNIPERORJUNIPER-SUPPLIEDSOFTWARE.INNOEVENTSHALLJUNIPER
BELIABLE FORDAMAGESARISING FROMUNAUTHORIZEDOR IMPROPERUSEOF ANYJUNIPER OR JUNIPER-SUPPLIEDSOFTWARE.
EXCEPTASEXPRESSLYPROVIDEDINTHE WARRANTYSTATEMENTTOTHE EXTENTPERMITTED BYLAW,JUNIPER DISCLAIMSANY
ANDALL WARRANTIESINAND TOTHE SOFTWARE(WHETHER EXPRESS,IMPLIED, STATUTORY,OROTHERWISE),INCLUDINGANY
IMPLIEDWARRANTYOF MERCHANTABILITY,FITNESSFORA PARTICULARPURPOSE,OR NONINFRINGEMENT.INNO EVENTDOES
JUNIPERWARRANTTHATTHESOFTWARE, ORANY EQUIPMENTOR NETWORKRUNNINGTHE SOFTWARE,WILLOPERATEWITHOUT
ERRORORINTERRUPTION,OR WILLBE FREE OFVULNERABILITYTOINTRUSIONORATTACK.In noeventshall Juniper’s orits suppliers’
orlicensors’liabilitytoCustomer,whetherin contract,tort(includingnegligence),breachofwarranty,orotherwise,exceedthe pricepaid
byCustomerfortheSoftwarethatgaverisetothe claim,orif the Softwareis embeddedinanother Juniper product,thepricepaid by
Customer forsuchother product.Customeracknowledges andagreesthatJuniperhassetits pricesandenteredintothis Agreement in
reliance uponthe disclaimersofwarrantyandthelimitationsof liabilitysetforthherein,thatthe samereflect anallocationof riskbetween
theParties(includingtherisk thata contractremedymayfailof itsessentialpurpose andcauseconsequentialloss),and thatthesame
formanessential basisofthe bargain betweenthe Parties.
9. Termination.Anybreachof thisAgreementor failurebyCustomertopayanyapplicablefees dueshall result inautomatictermination
ofthe licensegranted herein.Uponsuch termination, CustomershalldestroyorreturntoJuniper allcopiesof theSoftware andrelated
documentation inCustomer’spossessionorcontrol.
10. Taxes.All licensefeespayableunder thisagreementareexclusiveoftax.Customershall beresponsibleforpayingTaxesarising from
thepurchaseofthelicense,orimportationoruseof theSoftware.If applicable,validexemptiondocumentationforeachtaxingjurisdiction
shallbe provided toJuniperprior toinvoicing,andCustomershall promptlynotify Juniper iftheir exemption isrevokedor modified.All
paymentsmadebyCustomershallbe netof anyapplicablewithholdingtax.Customer willprovidereasonableassistancetoJuniper in
connection withsuch withholdingtaxesbypromptly:providingJuniperwith validtaxreceipts andother required documentation showing
Customer’spaymentofanywithholdingtaxes;completingappropriate applicationsthatwouldreducetheamount ofwithholdingtaxto
bepaid; andnotifying andassistingJuniper in anyauditor taxproceedingrelatedtotransactionshereunder.Customershallcomplywith
allapplicabletaxlawsand regulations,andCustomerwill promptly payorreimburseJuniper forallcostsanddamagesrelatedtoany
liabilityincurredbyJuniperasa resultofCustomer’snon-complianceor delaywithits responsibilitiesherein.Customer’sobligationsunder
thisSectionshall surviveterminationor expirationof this Agreement.
11. Export.Customeragrees tocomplywith all applicable exportlawsand restrictionsandregulationsof anyUnitedStatesandany
applicable foreignagencyor authority,andnot toexportor re-exporttheSoftware orany direct productthereofinviolationofany such
restrictions, lawsor regulations,orwithout all necessary approvals.Customershallbe liableforanysuch violations.Theversionof the
Softwaresupplied toCustomer maycontainencryptionor othercapabilitiesrestrictingCustomer’sabilitytoexportthe Softwarewithout
anexportlicense.
